Terms of Service

The Brux Dental AI Ranking software platform ("the App" or "the Service") is the property of Brux Dental Marketing LLC ("Us", "We", "Our", "Company", or "Brux"). Please carefully read the following Terms of Service ("Terms") fully before accessing and using the Service.

By accessing and using the Service, You ("You" or "Your") unconditionally agree to be bound by these Terms and all policies and procedures that may be published from time to time on the Service, without notice to You.

If You do not agree with these Terms and all the policies and procedures, do not access or use the Service.

Suitability

You represent and warrant that You are at least 18 years of age and have the legal authority to enter into this agreement on behalf of the dental practice or other entity for whom You are using the Service.

The Service is intended for use by dental practices, dental service organizations, and dental marketing agencies. We may, in our sole discretion, refuse to offer the Service to any person or entity and change eligibility criteria at any time.

Account Creation

To use the Service, You must create an account. You must provide accurate and complete information and keep Your Account information updated. Failure to do so shall constitute a breach of these Terms.

You are solely responsible for the activity that occurs on Your Account, and for keeping Your Account password secure. You may never use another person's user account without permission. You must notify us immediately of any change in Your eligibility to use the Service, breach of security or unauthorized use of Your Account.

Brux reserves the right to refuse registration of, or cancel an Account in Our sole discretion.

You may delete Your Account at any time through Your account settings or by emailing support@bruxdentalmarketing.com.

The Service

Brux provides software-as-a-service tools designed to help dental practices improve their visibility in AI search platforms. The Service includes but is not limited to:

The AI Visibility Audit
The Brux Testimonial Engine
The AI Ranking Tracker
Integration with third-party platforms including GoHighLevel and Stripe

The Service is provided as a software platform. Brux does not provide marketing services, search engine optimization services, or done-for-You review management as part of the Service. The Service provides analytical and operational tools that You use to take action on Your own behalf.

Subscriptions and Billing

Subscription Plans

The Service offers a free tier and paid subscription tiers. Feature access varies by tier as described on Our pricing page.

Billing

We use a third-party payment processor (currently Stripe) to bill You through a payment account for use of Paid Services. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to this Agreement.

By choosing to subscribe to a paid plan, You agree to pay us, through the Payment Processor, all charges at the prices then in effect for the selected subscription tier. You authorize Us, through the Payment Processor, to charge Your chosen payment method on a recurring basis.

Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annually depending on Your plan). You will be charged using Your chosen payment method on the renewal date.

Cancellation

You may cancel Your subscription at any time through Your account settings. Cancellation takes effect at the end of Your current billing period. You will continue to have access to paid features until the end of the period You have paid for.

We do not provide refunds for partial billing periods except as required by law. Annual subscriptions canceled within the first 14 days are eligible for a full refund.

Changes to Pricing

We reserve the right to change subscription pricing. We will notify You of any pricing changes at least 30 days before they take effect. If You do not agree to the new pricing, You may cancel Your subscription before the change takes effect.

Current Information Required

You must provide current, complete, and accurate billing information. You must promptly update all information to keep Your account current. If You fail to provide accurate information or if We are unable to process Your payment, Your account may be suspended.

Free Tier and Audit Use

The free tier of the Service provides limited access to the AI Visibility Audit feature. Free audits:

Show diagnostic findings without showing solutions
Expire and become inaccessible after 7 days
May be rate-limited per IP address or email address
Require email submission to receive full results

Brux reserves the right to modify, restrict, or discontinue the free tier at any time.

Acceptable Use

You shall not (and shall not permit any third party to):

Use the Service to infringe any patent, trademark, trade secret, copyright, or other intellectual property right
Submit false, misleading, or fraudulent information about Your practice
Use the Service to create false testimonials or reviews not based on actual patient visits
Use the Service in any way that violates applicable laws or regulations
Use the Service to send unsolicited communications ("spam") to patients
Attempt to reverse engineer, decompile, or disassemble any part of the Service
Use automated tools to scrape, crawl, or harvest data from the Service
Bypass, circumvent, or attempt to circumvent any access controls or rate limits in the Service
Resell, sublicense, or otherwise commercially exploit the Service except as expressly authorized under an Agency tier subscription

Patient Communications

When You use the Brux Testimonial Engine to send SMS messages to patients, those messages are sent through Your connected GoHighLevel account using Your own phone number and Your own SMS sending permissions.

You represent and warrant that:

All patients You request reviews from have provided valid consent to receive SMS communications from Your practice
Your patient communications comply with all applicable laws including TCPA, CAN-SPAM, and state-level regulations
You have appropriate consent under HIPAA or equivalent regulations to send patient communications via SMS

Brux is not responsible for ensuring compliance of Your patient communications. The responsibility for SMS compliance rests with You as the practice operator.

AI-Generated Content

The Service uses third-party AI to generate testimonial drafts, audit findings, and ranking analyses. You understand and acknowledge that:

AI-generated testimonial drafts are starting points that require patient review, edit, and submission. The patient must always be the final author of their review.
Audit findings and recommendations are generated by automated analysis and may contain errors or omissions
AI ranking results reflect responses from AI platforms at a specific point in time and may vary
Brux makes no guarantees about specific ranking improvements, AI visibility gains, or marketing outcomes

You agree not to publish AI-generated testimonials as authentic patient reviews without the actual patient's review and submission. The testimonial generation feature is a guided drafting tool, not an automated review fabrication system.

Third-Party Integrations

The Service integrates with third-party platforms including but not limited to GoHighLevel, Stripe, Google Business Profile, and various AI platforms. Your use of these integrations is subject to the terms and policies of those third-party providers.

Brux is not responsible for:

Outages or service interruptions of third-party platforms
Changes to third-party APIs or data availability
Data accuracy from third-party sources
Costs You incur from third-party service usage

Intellectual Property

Brux's Rights

Brux retains all right, title, and interest in and to the Service, including all software, code, designs, trademarks, and content created by Brux. These Terms do not transfer any intellectual property rights to You.

Your Content

You retain all rights to content You provide to the Service, including practice information, dentist names, and notes You enter for testimonial generation. By providing this content, You grant Brux a worldwide, non-exclusive license to use the content as necessary to operate the Service on Your behalf.

Output

Testimonial drafts, audit reports, and ranking insights generated by the Service are provided for Your use in operating Your dental practice. You may use these outputs internally and in patient communications consistent with these Terms.

Warranty Disclaimer

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We and our directors, employees, agents, suppliers, partners and content providers do not warrant that:

The Service will be secure or available at any particular time or location
Any defects or errors will be corrected
Any content or software available at or through the Service is free of viruses or other harmful components
The results of using the Service will meet Your requirements
The Service will produce specific marketing outcomes, patient acquisition results, or AI search ranking improvements

Your use of the Service is solely at Your own risk.

The foregoing disclaimer shall not apply to the extent prohibited by applicable law.

Indemnification

You shall defend, indemnify, and hold harmless Brux, our affiliates and each of our and their respective employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys' fees, that arise from or relate to:

Your use or misuse of the Service
Your violation of these Terms
Your patient communications and SMS practices
Your use of AI-generated testimonials
Your violation of any third party's rights including intellectual property, privacy, or contractual rights
Any infringement by You or any third party using Your Account

Limitations of Liability

IN NO EVENT SHALL BRUX, NOR OUR MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, VENDORS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE:

FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, COMPENSATORY OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER
FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE
FOR ANY DIRECT DAMAGES IN EXCESS OF THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO BRUX IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.00 (U.S.)

THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Arbitration Notice and Class Action Waiver

EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

You agree that all disputes between You and Us (whether or not such dispute involves a third party) regarding Your use of the Service will be resolved by binding, individual arbitration under the American Arbitration Association's rules for arbitration of consumer-related disputes. You and We hereby expressly waive trial by jury.

As an alternative, You may bring Your claim in Your local "small claims" court, if permitted by that small claims court's rules and if within such court's jurisdiction.

You may bring claims only on Your own behalf. Neither You nor We will participate in a class action or class-wide arbitration for any claims covered by this agreement to arbitrate.

This dispute resolution provision will be governed by the Federal Arbitration Act and not by any state law concerning arbitration.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, including its conflicts of law rules, and the United States of America. You agree that any dispute arising from or relating to the subject matter of these Terms shall be governed by the exclusive jurisdiction and venue of the state and Federal courts of Palm Beach County, Florida.

Termination

We reserve the right to suspend or terminate Your Account at any time for violation of these Terms, non-payment, fraudulent activity, or any other reason at Our sole discretion.

Upon termination:

Your access to the Service will end immediately
Your data may be deleted from Our systems within 90 days
Any outstanding fees remain due and payable
Sections of these Terms that by their nature should survive termination shall survive termination

You may terminate Your Account at any time through Your account settings or by emailing support@bruxdentalmarketing.com.

Modification

We reserve the right, in Our sole discretion, to modify or replace any of these Terms, or change, suspend, or discontinue the Service at any time.

For material changes to these Terms, We will notify You via email and/or a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service following notification of any changes to these Terms constitutes acceptance of those changes.

If You do not agree to the modified Terms, You must stop using the Service and cancel any active subscription.

Miscellaneous

Entire Agreement and Severability

These Terms, together with Our Privacy Policy, are the entire agreement between You and Us with respect to the Service and supersede all prior or contemporaneous communications and proposals. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Force Majeure

We shall not be liable for any failure to perform Our obligations where such failure results from any cause beyond Our reasonable control, including mechanical, electronic, or communications failure.

Assignment

These Terms are personal to You and are not assignable, transferable, or sublicensable by You except with Our prior written consent. We may assign, transfer, or delegate any of Our rights and obligations hereunder without consent.

No Agency

Nothing in these Terms will be construed as creating a joint venture, partnership, employment, or agency relationship between You and Brux.

Notices

All notices under these Terms will be in writing and will be deemed to have been duly given when received. Electronic notices should be sent to legal@bruxdentalmarketing.com.

No Waiver

Our failure to enforce any part of these Terms shall not constitute a waiver of Our right to later enforce that or any other part.
